On November 14, 2019, Tonix Pharmaceuticals Holding Corp. (the “Company”) received a letter (the “Notice”) from the Listing Qualifications staff of The Nasdaq Stock Market LLC (“Nasdaq”) indicating that, based upon the Company having reported stockholders’ equity of $9,855,000 as of September 30, 2019 in its Quarterly Report on Form 10-Q for the quarter ended September 30, 2019, the Company no longer meets the requirement to maintain a minimum of $10,000,000 in stockholders’ equity for continued listing, as set forth in Nasdaq Listing Rule 5450(b)(1)(A) (the “Stockholders’ Equity Standard”).
On November 20, 2019, the Company closed a public offering with total net proceeds of approximately $8.1 million. As a result, the Company has regained compliance with the Stockholders’ Equity Standard, and is in compliance with the Stockholders’ Equity Standard as of December 20, 2019. Nasdaq will continue to monitor the Company’s ongoing compliance of the Stockholder’s Equity Requirement and, if at the time of the Company’s next periodic report, the Company does not evidence compliance with the Stockholders’ Equity Requirement, the Company may be subject to delisting.
